Contributor Agreement This Contributor’s Agreement (“Agreement”) is effective as of__ /__ / 2008 between VISAGE MEDIA SERVICES PRIVATE LIMITED, a company incorporated under the provisions of the Companies Act, 1956 and having its registered office at Hyderabad (“VISAGEMEDIA SERVICES”) and _____________________son/daughter of ____________________________________aged about____years and residing at______________________________________________________________________________ and carrying on business under the name and style of ________________________ (“Contributor”) Whereas, VISAGE MEDIA SERVICES owns and operates a global distribution system for the sale and license of photographs and graphic design resources to creative professionals; and Whereas, contributor is in the business of imagery and would like the opportunity to have its Products distributed by Visage Media Service Now therefore, in consideration of the mutual undertakings here after set forth the parties hereby agree as follows: Definition 1.“Accepted Images” means an image submitted by the Contributor to VISAGE MEDIA SERVICES. and accepted by VISAGE MEDIA SERVICES. for inclusion in its files. 1.2. “Catalogue” means any compilation of “Accepted Images” to promote the business of VISAGE MEDIA SERVICES. and/or Contributor 1.3. “Contributor” means in respect of any image, the Copyright owner or an agent, that agent, has completed registration on his behalf. 1.4. “Images” means illustrations, drawings, photographs, or other visual representations, color or blank and white transparencies, whether obtained by camera or computer, or any other means, which is now known or which may become known in the future and shall include metadata, keywords, descriptions and captions associated with the image. 1.5. “Image Submission Guidelines” means VISAGE MEDIA SERVICES content and format requirements for submitting images to VISAGE MEDIA SERVICES. VISAGE MEDIA SERVICES retains the right to revise and amend these guidelines from time to time upon written notice to Contributor. VISAGE MEDIA SERVICES current Image Submission Guidelines are annexed as Schedule A and are incorporated and made a part of this Agreement. 1.6. “Gross License Fee” is the actual license fee invoiced for the licensing of a Contributor’s image by VISAGE MEDIA SERVICES. or by any representative on its behalf to a Third party. It shall not include any credit card processing fees, cancellations fees, credits, refunds, taxes, collection or legal fees. 1.7. “Royalty-free License” means the license set by Visage on behalf of the contributor, where the pricing of the image is determined by the image size. 1.8. “Rights Managed License” means the license set by Visage on behalf of the contributor, where the pricing of the image is determined by number of factors like the usage type, region of usage etc. 1.9. “Model Release” is a signed statement from the person or persons depicted in the Image, giving consent to his or her likeness to be used for commercial purposes as described in the statement. 1.10. “Property Release” is a signed statement from the owner/s of property depicted in a stock photo, giving consent for the image depicting his or her property to be used for commercial purposes. 1.11. “Similar” means a photographic image in analogue or digital form that is substantially similar to an Accepted Image and which may reasonably cause an industry professional viewing that image to believe that it is the same or substantially the same image, whether in colour or black and white. 1.12. “Representative” means an entity authorized to enter into sub-licensing arrangement in respect of the Images on behalf of VISAGE MEDIA SERVICES 1.13. “Third Party” means any third party other than the Contributor or VISAGE MEDIA SERVICES. 2. SUBMISSIONS AND ACCEPTANCE OF IMAGES 2.1. Contributor agrees to submit Images in accordance with the current VISAGE MEDIA SERVICES Image Submission Guidelines. Contributor acknowledges that VISAGE MEDIA SERVICES is entitled to change such guidelines upon written notice. The changed guidelines will be applicable on all submissions post the change, any submissions made prior to the change in the guidelines will not be affected by the changes. 2.2. VISAGE MEDIA SERVICES may accept or reject any Images submitted to it in its sole and absolute discretion. An Image will become an Accepted Image when VISAGE MEDIA SERVICES notifies the Contributor that it has been accepted into VISAGE MEDIA SERVICES’ files. VISAGE MEDIA SERVICES shall return unselected images within one month’s time after selection. Contributor acknowledges that over time some of the Accepted Images may become dated or found not be marketable. In this event, VISAGE MEDIA SERVICES has the sole right to determine when any Accepted Image is not marketable, and shall return the Image to the Contributor or destroy the file containing the Image, as VISAGE MEDIA SERVICES may deem fit. 2.3. Contributor is associated with Visage on a non-exclusive and reserves the right to supply to any third party, any image that is a duplication or similar to any of the accepted images. Visage is not liable for any complication that arises due to a license conflict and it is the contributor’s responsibility to withdraw any image sold by Visage on an exclusive license to a client, from other agencies and vice versa.) 2.4. Contributor shall (is expected) to provide valid Property or Model Releases for all Accepted Images depicting recognizable people, private property, or as required by VISAGE MEDIA SERVICES. In the event the releases are not available, Visage will assign the license type of the image as Rights Managed. 2.5. Contributor is expected to provide factual information pertaining to images featuring places, important personalities, animals, birds, flowers etc. Visage will provide generic keywords to the image in the absence of relevant factual information. 2.6. Accepted Images at all times will be and shall remain the exclusive property of the Contributor and Contributor shall retain copyright on its Images. The Images shall not be considered assets of VISAGE MEDIA SERVICES during bankruptcy. 2.7. VISAGE MEDIA SERVICES. shall advise licensees to include Contributor’s credit where appropriate along with the Accepted Images. VISAGE MEDIA SERVICES. credit may be included to designate the source of the Image. GRANT OF LICENSE 3.1. Subject to the terms of this Agreement, Contributor grants to VISAGE MEDIA SERVICES an exclusive worldwide license, with a right to grant sub-licenses, to use, publish, reproduce, distribute, transmit, publicly display, broadcast, exhibit, recast, digitally enhance or modify, the Accepted Images alone or in combination with any other material, in all formats or media now known or to be known in the future, for any purpose. Regardless of any modifications made by VISAGE MEDIA SERVICES, the copyright of the Accepted Images rests with the Contributor. VISAGE MEDIA SERVICES is specifically authorized to employ the services of Representatives, through out the world in its licensing efforts and to permit them to exercise the same rights granted to VISAGE MEDIA SERVICES. 3.2. Contributor has the right to assign the appropriate license type for his/her images. The license type can be changed only once after this, provided the image has not 4 been downloaded or sold under the present license type. If the image has been downloaded or purchased by a client, the license type cannot be changed. 3.3. Contributor grants to VISAGE MEDIA SERVICES and its Representatives the right to use the Contributor’s name and Accepted Images to promote, advertise and market VISAGE MEDIA SERVICES’ business; and the Contributor agrees that no compensation or further consent is due for the use of Accepted Images in promotion of VISAGE MEDIA SERVICES’ business. VISAGE MEDIA SERVICES will endeavor to credit the Contributor wherever practicable. 3.4. With reference to clause 2.3, Contributor has the right to (i) license the Accepted Images to third parties on a non-exclusive basis with no rights of sub-license at prices no less favourable than those determined by VISAGE MEDIA SERVICES for those Accepted Images pursuant to this Agreement or (ii) use his or her Accepted Images for (a) Self Promotional non-commercial use limited to direct mailing cards, source book advertisements, editorial articles or books solely relating to the contributors career, industry related advertisements, personal websites, compact discs and other digital media presentations; and (b) limited editions fine art prints. Contributor agrees to send VISAGE MEDIA SERVICES. Prior written notice on any such licenses granted to third parties or any self-promotional use of Accepted Images. Upon request from VISAGE MEDIA SERVICES, the Contributor agrees to furnish all details relating to the identity of the licensees and the licensing terms including pricing and categorization of the Accepted Images so licensed by the Contributor directly to third parties. 3.5. Contributor grants to VISAGE MEDIA SERVICES complete and sole discretion regarding the terms and conditions of licensing Accepted Images to Third Parties including the pricing and categorization of the Accepted Images. VISAGE MEDIA SERVICES shall have complete and sole discretion as to delivery methods and distribution of the Accepted Images. Notwithstanding the foregoing, VISAGE MEDIA SERVICES acknowledges it has no right to license any transfer of copyright ownership or any license in excess of the rights granted herein. 3.6. Contributor grants VISAGE MEDIA SERVICES and its Representatives, the rights in its sole discretion to use the Accepted Images for their marketing and promotional use for which no payment shall be owed to the Contributor. VISAGE MEDIA SERVICES will endeavor to credit the Contributor wherever practicable. 3.7. Contributor grants VISAGE MEDIA SERVICES the exclusive right, at its expense, to determine in its sole and reasonable discretion, without obligation, if, and when, any legal action shall be pursued with regards to the Accepted Images, and to defend claims and counterclaims related to Accepted Images. VISAGE MEDIA SERVICES shall advise Contributor before filing any legal action on its behalf. VISAGE MEDIA SERVICES shall have complete discretion regarding the choice of its lawyer. Settlements shall be subject to the Contributor’s prior approval. Contributor agrees to cooperate with VISAGE MEDIA SERVICES., providing, if requested, all reasonable assistance to VISAGE MEDIA SERVICES.. Contributor agrees to be named in and joined in as a party to any proceeding in connection with the prosecution or defense of any legal claim. The Contributor shall not hold VISAGE MEDIA SERVICES responsible for any misuse of Accepted Images. 4. COMPENSATION 4.1. VISAGE MEDIA SERVICES shall remit to the Contributor a royalty of Fifty percent (50%) of remuneration paid to VISAGE MEDIA SERVICES for the licensing of Contributor’s Images by Third Parties and Representatives through any third party website or through any international Image libraries, and/or a royalty of Fifty percent (50%) of the Gross License Fees invoiced and reported by VISAGE MEDIA SERVICES for the licensing of Contributor’s Images through its website worldwide, less any taxes, or refunds. VISAGE MEDIA SERVICES shall pay the royalties payable to the Contributor within 45 days of receipt of the License Fees. In case of any Non-receipt of license fees by VISAGE MEDIA SERVICES, the Contributor will be informed of the same. 4.2. If VISAGE MEDIA SERVICES is required by any law, regulation, treaty or otherwise to deduct or withhold any tax, duty, foreign exchange loss, or levy of any nature from any sums due to the Contributor, VISAGE MEDIA SERVICES will have the right to deduct any such amount from the Contributor’s royalties. Contributor agrees to cooperate with VISAGE MEDIA SERVICES and promptly provide VISAGE MEDIA SERVICES with documents or information regarding the Contributor’s identity, nationality, residence or tax status as may be needed to determine, reduce or eliminate any applicable withholding or other tax, duty, levy of any nature. If VISAGE MEDIA SERVICES deducts or withholds any amounts it shall on an annual basis, send any form required by law to the Contributor detailing the amounts so deducted or withheld for the applicable tax year. 4.3. In the event that a refund is made of a payment received or accrued from a Third Party, VISAGE MEDIA SERVICES is specifically authorized to deduct the Contributor’s share of any overpayment from any subsequent amount due to the Contributor. 4.4. The Contributor will be given payment in Indian Rupees and the payment is released on the submission of the invoice sent by Visage, duly signed and delivered to us before 25th of a month. 4.5. The Contributor shall receive fifty percent (50%) of all amounts received as a result of a settlement or lawsuit in respect of any matter relating to the Accepted Images, after payment of all costs, expert witness fees, lawyer’s fees and other costs related to such action. 5. CATALOGUE AND WEBSITE INCLUSION 5.1. VISAGE MEDIA SERVICES may, at its sole discretion, select any of Contributor’s Images for reproduction in VISAGE MEDIA SERVICES. promotional materials, Catalogues and Website or that of any Representative. 6. TERM AND TERMINATION 6.1. The term of this Agreement shall be for three (3) years from the effective date of the Agreement (the “Initial Term”), and shall automatically renew itself on the anniversary date of the Agreement for an additional period of two (2) years and in subsequent two (2) year intervals for additional two (2) year period unless terminated earlier in accordance with this Agreement. Notwithstanding the above, either party shall have the right to terminate this Agreement without assigning any reason whatsoever, by giving prior written notice of sixty (60) days to the other party. e date of Termination, Contributor grants VISAGE MEDIA SERVICES. the exclusive right to license the image published in a Catalogue for the period Visage Media Services has granted license to third party (s) before the date of termination 6.3. Notwithstanding the provisions of section 8.1 this Agreement may be terminated by either party for failure of the other party to comply with any material term of the Agreement, if after thirty (30) days of receipt of notice of such failure, the default is not cured. The effective date of termination will be thirty (30) days from the date the said notice is sent. 6.4. Upon termination of this Agreement and upon written notification by the Contributor, VISAGE MEDIA SERVICES shall make all reasonable efforts to retrieve and return to the Contributor all original Images not distributed to third parties and in VISAGE MEDIA SERVICES possession in a reasonable period of time, not to exceed one (1) year with the exception of Accepted Images that are published in the Company’s Catalogues. VISAGE MEDIA SERVICES shall attempt to return majority of the Images to the Contributors within six (6) months after Termination. Contributor agrees that the retrieval of the Accepted Images may take as long as three (3) years and that VISAGE MEDIA SERVICES may not be able to retrieve all Accepted Images distributed to third parties. Duplicate Images remain the property of VISAGE MEDIA SERVICES. and shall be destroyed within a reasonable time after the expiration or termination of the Agreement.6.5. Termination will not affect any license granted to any Third Party, such license will continue in full force and effect according to its terms. The Contributor acknowledges that terms of certain licensing agreements may give rise to payments for use of the Accepted Images after the expiration or termination of this Agreement, and that VISAGE MEDIA SERVICES. or its Representatives may receive requests to renew licenses of certain Images subsequent to the expiration or termination of this Agreement. In such event, VISAGE MEDIA SERVICES is authorized to renew licenses in relation to such Accepted Images and continue to invoice and remit royalties to the Contributor under the terms and conditions of this Agreement for a period of five (5) years subsequent to the expiration or termination of this Agreement. The payments shall continue to be accompanied by the reports set out in Section 4.5.
7. NON-DISCLOSURE AGREEMENT 7.1. Contributor agrees not to disclose any confidential information that may be provided by VISAGE MEDIA SERVICES without the prior written consent of VISAGE MEDIA SERVICES..7.2. Confidential Information includes information concerning VISAGE MEDIA SERVICES marketing plans, financial results, pricing schedules, proprietary technology, research information, practices, trade secrets, and any and all other information deemed confidential by VISAGE MEDIA SERVICES 7.3. VISAGE MEDIA SERVICES agrees not to disclose any confidential information it learns of Contributor without prior written consent of the Contributor. 8. LIMITATION OF LIABLITY 8.1. VISAGE MEDIA SERVICES agrees to make all commercially reasonable efforts to protect and preserve the Images, and exercise commercially reasonable care in scanning and handling of the Images. Notwithstanding, Contributor agrees that VISAGE MEDIA SERVICES. is not responsible for any loss, theft, damage or deterioration of any of Contributor’s Images, whether arising out of negligence, breach of contract or otherwise except for gross and willful negligence. Contributor is advised to insure or duplicate any Images he or she submits to VISAGE MEDIA SERVICES. Under no circumstances shall VISAGE MEDIA SERVICE liability, whether in tort, negligence, contract or otherwise for loss or damage to any Image provided to VISAGE MEDIA SERVICES exceed Rs. 2500 per Image or an aggregate of Rs. 200,000 irrespective of the number of images. 9. CONTRIBUTOR WARRANTIES 9.1. Contributor represents and warrants that: 9.2. Contributor has read and understands this Agreement, and has the legal right to enter into this Agreement and perform his or her obligations hereunder; 9.3. Contributor is the sole and exclusive owner of all Accepted Images and has not assigned copyright or any other intellectual property rights in any Accepted Image or Similar Image to any Third Party; 9.4. Any Accepted Image shall not knowingly (1) infringe upon any copyright or trademark or any other intellectual property rights, right or right of privacy or publicity; (2) defame any Third Party; nor (3) give rise to any existing or potential claim by any Third Party; 9.5. There are no sales restrictions of any kind on any Accepted Images except those submitted in writing at the time of submission; 9.6. A valid release being either a Model/and or Property Release has been stated and is available where necessary and appropriate for each Accepted Image and the Contributor shall provide true copies of releases for any image, when asked for. 9.7. All Images shall be submitted in accordance with VISAGE MEDIA SERVICES current Submission Guidelines. 10. VISAGE MEDIA SERVICES Warranties: 10.1. VISAGE MEDIA SERVICES represents and warrants that:10.2. It has the full right and authority to execute and perform its obligations under this Agreement according to its terms; and 10.3. It shall use commercially reasonable efforts to market and license Accepted Images. 11.INDEMNIFICATION 11.1. Contributor agrees to indemnify and to hold VISAGE MEDIA SERVICES and its officers, directors, employees and agents harmless from any claims, liabilities, losses and damages (including reasonable lawyer fees and expenses) arising from any breach of any representation or warranty, any failure to perform any covenant or agreement hereunder. 11.2. VISAGE MEDIA SERVICES agrees to indemnify and to hold Contributor harmless from any claims, liabilities, losses and damages (including reasonable lawyer fees and expenses) arising from (1) any inaccuracy or any representation or warranty made by VISAGE MEDIA SERVICES.; and (2) any failure of VISAGE MEDIA SERVICES to perform any covenant or agreement hereunder. 11.3. The Contributor agrees to indemnify VISAGE MEDIA SERVICES for all costs associated with the withdrawal of an Accepted Image including administration costs, any material costs incurred in the duplication and distributing the Accepted Image. In the event of a withdrawal of an Accepted Image from the collection for any reason whatsoever, VISAGE MEDIA SERVICES is entitled to destroy the high-resolution digital file containing the Accepted Image created by VISAGE MEDIA SERVICES without reference to the Contributor. 11.4. Neither party shall be liable to the other party for indirect, incidental, consequential (including lost profits or business opportunities), special, & exemplary or punitive damages. 12. MISCELLANEOUS 12.1. This Agreement shall be binding upon and shall inure to the benefit of the party’s heirs, executors, administrators, successors and permitted assigns and in the event of the Contributor’s death, the Company will make any accrued payments to his or her estate. 12.2. VISAGE MEDIA SERVICES shall use reasonable efforts to locate the Contributor in the event that the payments are returned unclaimed. To assist Visage Media Services in this endeavor, Contributor shall provide an alternate address on the signature page of this Agreement. In the event that, notwithstanding VISAGE MEDIA SERVICES’ reasonable efforts, Contributor cannot be located for five (5) years VISAGE MEDIA SERVICES shall have the right to retain all royalties due and destroy the unreturned Images. 12.3. Assignment: Except to a parent, subsidiary or Affiliate, neither party may assign any of its rights under this Agreement without the prior written consent of the other party, which shall not be unreasonably withheld. Subject to the foregoing, this Agreement will be fully binding upon, inure to the benefit of, and be enforceable by the parties and their respective successors and assigns. 12.4. Nothing in this Agreement will constitute the relationship of an employer or an employee, agency, partnership or a joint venture between VISAGE MEDIA SERVICES and the Contributor. Both parties agree that the Contributor is an independent contractor. 12.5. All notices to be served in accordance with this Agreement may be served by email, fax, or by mail. The email, fax and postal addresses of VISAGE MEDIA SERVICES and the Contributor are as set forth at the end of this Agreement. Contributor and VISAGE MEDIA SERVICES agree to notify each other promptly of any change in their address fax or email address for the purpose of notification pursuant to this Agreement. 12.6. To the extent that any provision is deemed illegal, void or unenforceable, that provision shall not affect the remaining provision of the Agreement, which shall remain in full force and effect. 12.7. This Agreement shall be interpreted in accordance with laws of India without regard to conflict of law rules. In any action arising out of this Agreement, the Parties consent to the exclusive jurisdiction of the courts located in Hyderabad 12.8. This Agreement including the attached Schedules incorporates the entire understanding between the parties, and it can be modified only by a written document signed by both parties. This Agreement supersedes any prior Agreement between VISAGE MEDIA SERVICES and the Contributor.In witness whereof, the parties have executed this Agreement to be effective as of the Effective Date For VISAGE MEDIA SERVICES PRIVATE LIMITED For CONTRIBUTOR Name:___________ Name: _________Date: __/__ /____ Date:__ /__ /____ IMAGE SUBMISSION GUDILINES Contributor agrees to provide regular submissions of well-edited and technically excellent imagery for consideration to VISAGE MEDIA SERVICES, with a covering note containing the details of the images and their count. Contributor agrees to group all Similar Images together during submission Contributor agrees to indicate which Images, and to what extent, are released for advertising use when submitting the images initially. Contributor agrees to provide the relevant releases when asked for, for an image where it has been stated at time of upload that releases are available. 1. VISAGE MEDIA SERVICES requires you to check each individual asset at 100% magnification before you submit. 2. Comprehensive guide for submission • 8bit 48MB file for submission. • High resolution jpegs are fine, but they have to have an uncompressed file size of 48MB • Files should be with Adobe RGB 1998 color profile. • Use a DSLR with a “true” (non-interpolated) resolution of at least 6 megapixels. • The image can be shot in RAW, TIFF or JPEG format as per your discretion. Shooting in RAW gives more control in post-processing. If you are shooting in JPEG, use the “Fine” (least compressed) setting. Use as low an ISO setting as possible • We require clean images – dust free. Digital camera files can also have dust marks due to dust on the CCD of the camera. • Turn off in camera sharpening and refrain from sharpening the image while preparing it for submission too • Do not do any work on jpeg files. Resave them as tiffs or psds. Resaving as JPEG’s in JPEG format will result in permanent loss of data and degraded image quality • Avoid sending a series of several identical photos. Choose the few best ones from the lot and submit. • Always try to submit the highest resolution file available with you • We recommend minimum editing on the images • Avoid including borders, vignettes etc around the images • If you can get releases pertaining to model or property featured in an image, please do so • Provide factual information pertaining to locations and name of monuments etc along with the submissions 3. Original still assets must be scanned and delivered as a 24-bit RGB TIFF (8 bits per channel), using a scanner with the highest specification possible such as a drum scanner. 4. The preferred image size is 48MB in 24-bit color RGB (8 bits per channel), which prints at 300dpi to approximately 11” x 17” (ANSI B, tabloid) or 297mm x 420mm (A3). The scanned image should NOT be resized or interpolated. 5. Submission Media: Submission of all digital assets can be made via online methods, CD, DVD, Pen drive or HDD. Burn the disc using Universal Disk Format only. Do not use Macintosh OS Extended or ISO-9660 compliant formatting. 6. Image quality a. There should be no artifacts such as visible over sharpening, cloning marks, pixelation, jagged edges and any computer-generated errors. b. Color rendition should be smooth, have depth and a photographic quality to it and not look posterized.c. There should be a smooth transition of color information in the shadow areas and highlights. Any kind of blocking or color banding is unacceptable.d. Grain structure should not be exaggerated, excessive nor distorted. The quality of scanning equipment plays a very important role in accurately recording grain structure.e. Color space should be specified with an ICC profile e.g.: TIFF RGB, Adobe 1998, when assets aren’t individually tagged. This will enable us to view and handle images correctly. 7. Sharpening a. Excessive sharpening tends to separate grain, causing it to look artificial and broken up. Sharpening can also cause noise and distortion when used to b. extreme levels and will produce speckling and mottling (de-speckling filters don’t solve this problem). Furthermore, repro houses will sharpen at a later stage for optimum print, especially when producing large displays or posters. c. Un-sharp mask filters should only be applied within these guidelines: i. Amount: 0-100% ii. Radius: 1-2 pixelsiii. Threshold: 0-4 iv. Results will vary from image to image.d. VISAGE MEDIA SERVICES will reject assets that have been over sharpened. 8. Contrast should only be boosted to a minimum without detriment to mid-tones. The aim is to keep as much detail as possible in the shadows, mid-tones and highlights. 9. Input levels should be clipped between 4 and 248 to prevent blocky blacks and burnt out highlights. Anything beyond these values will affect printing black or white areas, indicating that shadow/highlight detail has been lost. 10. All assets should be free of hairs, dust, marks, oil stains and smudges. No blemishes should be visible at 100% magnification. 11. No recognizable logos should be present in the image for copyright and trademark reasons. VISAGE MEDIA SERVICES reserves the right to reject or remove any asset for technical quality reasons. (Release Policy) VISAGE MEDIA SERVICES and Contributor agree that an acceptable release is one that covers all uses, including some that may be sensitive. VISAGE MEDIA SERVICES agrees to advise clients that the use of photographs for sensitive subjects, including but not limited to, alcohol, tobacco, serious physical or mental ailments, substance abuse, Physical or Mental abuse, AIDS, sexual subjects, religious or political affiliations, or any disparaging references, are strictly forbidden without expressed written permission from VISAGE MEDIA SERVICES. VISAGE MEDIA SERVICES shall make all reasonable efforts to contact and obtain advance permission from Contributor before granting a license for use of any Image containing a recognizable person, persons, or private property for sensitive use.
Please take the printout of agreement and sign it at the bottom of all pages and send it to us with your first approved submission of images.
Note:
Only after receiving of the signed agreement only the images will be online.
